GOVERNANCE PRACTICES
The organization and management of the Financial Institution AK-Invest sh.a is regulated
according to domestic legislation, the best international practices, Trading Company Law and
the principles of Good Governance drafted by the OECD.
The company operates with the unitary model of governance with a level of management,
where the governance system is structured in two bodies: the General Assembly with two
shareholders and the Board of Directors, with 5 members, which consists of an administrator
and the independent members.
BOARD COMMITTEE
In accordance with the regulatory and administrative requirements, Steering Committees have been set up with well-defined tasks
1. Internal Control Committee.
The role of this Committee is to control and evaluate the processes exercised by various operational units of the Institution and orientation in increasing performance.

2. Compliance Committee.
Whose role is that in compliance with legal requirements, to ensure that the Company meets all regulatory obligations and relevant standards, internal and external.

The role of this Committee is to decide on lending by the Institution.

INTERNAL AUDIT
Structuring a sound Internal Control system is of great importance to protect the interests of our shareholders and the credibility of the institution. The Board of Directors has assigned responsibility for the internal control to the Internal Control Committee as well as to the independent auditors. These structures report directly to the Board of Directors. Internal Control is comprehensive and includes, among others, all financial and operational systems, as well as company compliance and risk management systems.
